Growth Partner Agreement

15.1 Purpose

This Growth Partner Agreement ("Agreement") establishes the legal relationship between Blinko LLC ("Blinko") and each individual approved to participate in the Blinko Growth Partner Program ("Growth Partner").

This Agreement governs participation in the Program, independent contractor status, authorized activities, compensation eligibility, professional standards, and the rights and responsibilities of both parties.

Participation in the Growth Partner Program is voluntary and subject to ongoing compliance with this Agreement, the Master Terms of Service, and all other applicable Blinko policies.

15.2 Appointment

Upon approval by Blinko, the participant is authorized to participate as a Growth Partner.

Growth Partners may:

• Identify prospective Businesses.
• Introduce Businesses to Blinko.
• Demonstrate authorized Blinko products.
• Assist Businesses with onboarding where authorized.
• Participate in training and certification programs.
• Earn compensation in accordance with the Commission & Earnings Policy.

Participation is non-exclusive.

Blinko may appoint multiple Growth Partners within the same geographic region or industry.

15.3 Independent Contractor Relationship

Growth Partners participate as independent contractors.

Nothing in this Agreement creates:

• Employment.
• Agency.
• Partnership.
• Franchise.
• Joint venture.
• Brokerage.
• Fiduciary relationship.

Growth Partners shall not represent themselves as employees or authorized legal representatives of Blinko.

Growth Partners have no authority to:

• Enter into contracts on behalf of Blinko.
• Modify Blinko pricing.
• Make warranties or guarantees.
• Bind Blinko to commercial commitments.
• Represent that they possess authority beyond that expressly granted by Blinko.

15.4 Eligibility

To participate, a Growth Partner must:

• Be legally eligible to enter into contracts.
• Maintain an active Blinko account.
• Provide accurate registration information.
• Complete required onboarding.
• Maintain Good Standing.
• Comply with applicable laws.

Blinko may establish additional eligibility requirements from time to time.

15.5 Partner Responsibilities

Growth Partners agree to:

• Conduct business professionally.
• Accurately represent Blinko products.
• Protect confidential information.
• Follow Platform policies.
• Maintain current contact information.
• Complete required certifications where applicable.
• Cooperate with compliance reviews.
• Promptly report suspected fraud or security concerns.

Growth Partners remain solely responsible for their own business activities.

15.6 Professional Standards

Growth Partners shall:

• Treat Businesses respectfully.
• Communicate honestly.
• Avoid misleading claims.
• Respect competitor intellectual property.
• Avoid deceptive marketing practices.
• Preserve the reputation of Blinko.

Professional conduct is a condition of continued participation.

15.7 AI Assistance

Guide is provided to assist Growth Partners.

Guide recommendations are advisory.

Growth Partners remain responsible for:

• Customer communications.
• Business recommendations.
• Pricing discussions.
• Proposal presentations.
• Business commitments.

Guide does not replace professional judgment.

15.8 Customer Relationships

Businesses remain customers of Blinko.

Growth Partners develop and support relationships with Businesses but do not acquire ownership of customer accounts.

Customer records, subscription records, and Platform accounts remain the property of Blinko, subject to applicable privacy obligations.

Nothing in this Agreement grants exclusive ownership of a customer relationship.

15.9 Territory

Unless expressly agreed in writing, Growth Partners receive no exclusive geographic territory.

Blinko may recruit additional Growth Partners in any location.

Businesses may engage with any authorized Growth Partner.

15.10 Compensation

Compensation is governed exclusively by the Commission & Earnings Policy.

Eligibility for commissions depends upon:

• Qualified Business status.
• Qualified Revenue.
• Good Standing.
• Compliance with this Agreement.
• Satisfaction of all published qualification requirements.

No commission is earned until qualification requirements have been satisfied.

Blinko reserves the right to modify commission programs prospectively.

15.11 Taxes

Growth Partners are solely responsible for:

• Income taxes.
• Self-employment taxes.
• Business licenses.
• Required registrations.
• Insurance.
• Other legal obligations arising from their participation.

Blinko may issue tax reporting documents where required by applicable law.

15.12 Confidentiality

Growth Partners may receive confidential information regarding:

• Businesses.
• Customers.
• Product roadmaps.
• Pricing.
• Marketing strategies.
• AI capabilities.
• Platform operations.

Such information shall be used solely for authorized participation in the Program and shall not be disclosed except as authorized by Blinko or required by law.

Confidentiality obligations survive termination.

15.13 Intellectual Property

Blinko retains ownership of:

• Trademarks.
• Logos.
• Growth OS.
• Guide.
• Training materials.
• Sales collateral.
• Product documentation.
• Marketing assets.
• AI systems.

Growth Partners receive a limited license to use approved materials solely for authorized Program activities.

No ownership rights are transferred.

15.14 Brand Usage

Growth Partners may use Blinko branding only in accordance with published Brand Guidelines.

Growth Partners shall not:

• Modify Blinko logos.
• Register confusingly similar domain names.
• Create unauthorized marketing materials.
• Represent themselves as official spokespeople.

Blinko may revoke branding permissions at any time.

15.15 Compliance

Growth Partners shall comply with:

• This Agreement.
• The Governance & Legal Handbook.
• Applicable laws.
• Anti-spam requirements.
• Consumer protection laws.
• Advertising regulations.
• Privacy obligations.
• AI usage policies.

Failure to comply may result in suspension or termination.

15.16 Suspension

Blinko may suspend participation where reasonably necessary to:

• Investigate fraud.
• Protect Platform integrity.
• Address policy violations.
• Protect Businesses.
• Protect other participants.
• Comply with legal obligations.

Where practical, Blinko will provide notice.

15.17 Termination

Either party may terminate participation at any time unless otherwise agreed in writing.

Upon termination:

• Platform access may be disabled.
• Commission eligibility shall be governed by the Commission & Earnings Policy.
• Confidentiality obligations continue.
• Intellectual property licenses terminate.
• Outstanding legal obligations survive.

Termination does not automatically create entitlement to future commissions unless expressly provided by applicable policy.

15.18 No Exclusivity

Growth Partners remain free to engage in other lawful business activities.

Nothing in this Agreement requires exclusive service to Blinko.

Likewise, Blinko remains free to appoint additional Growth Partners and pursue sales through any lawful channel.

15.19 Limitation of Authority

Growth Partners shall not:

• Modify subscription agreements.
• Alter pricing.
• Negotiate legal terms.
• Offer unauthorized discounts.
• Make guarantees regarding product performance.
• Represent future product features as committed.

Only Blinko may authorize such commitments.

15.20 Entire Agreement

This Agreement, together with the Governance & Legal Handbook, the Master Terms of Service, Commission & Earnings Policy, Privacy Policy, and other incorporated documents, constitutes the complete agreement governing participation in the Growth Partner Program unless superseded by a separately executed written agreement.

The Growth Partner Agreement establishes the independent commercial relationship between Blinko and each Growth Partner.

It defines participation rights, responsibilities, professional standards, confidentiality obligations, intellectual property protections, and the legal framework under which Growth Partners introduce and support Businesses using the Blinko Platform.

Compensation mechanics, commission calculations, and payout procedures are governed separately by the Commission & Earnings Policy, which forms an integral part of the Growth Partner Program.
