Commission & Earnings Policy
Effective July 12, 2026
16.1 Purpose
This Commission & Earnings Policy ("Policy") establishes the rules governing eligibility for commissions, recurring earnings, payouts, adjustments, disputes, and related financial matters for participants in the Blinko Growth Partner Program.
This Policy supplements the Growth Partner Agreement and forms part of the contractual relationship between Blinko LLC ("Blinko") and each Growth Partner.
Blinko's objective is to operate a commission program that is transparent, sustainable, fair, and aligned with long-term customer success.
16.2 Guiding Principles
The Growth Partner Program is built upon the following principles:
- Reward long-term customer success rather than one-time sales.
- Encourage ethical business practices.
- Maintain transparency in commission calculations.
- Protect the financial integrity of the Platform.
- Minimize disputes through objective qualification rules.
- Support sustainable recurring income.
16.3 Commission Eligibility
A Growth Partner becomes eligible to receive commissions only when all applicable eligibility requirements have been satisfied.
Eligibility may include:
- Approved Growth Partner status.
- Good Standing.
- Completion of required onboarding.
- Completion of required certifications, where applicable.
- Compliance with the Growth Partner Agreement.
- Compliance with this Policy.
- Compliance with applicable laws.
Blinko reserves the right to establish additional eligibility requirements for specific incentive programs.
16.4 Qualified Business
A Business qualifies for commission eligibility only if it:
- Successfully subscribes to an eligible Blinko service.
- Meets Blinko's customer qualification requirements.
- Maintains an active subscription.
- Is not identified as fraudulent or otherwise ineligible.
Qualification requirements may be updated prospectively by Blinko.
16.5 Qualified Revenue
Only Qualified Revenue generates recurring commissions.
Qualified Revenue generally includes subscription revenue recognized by Blinko for eligible products and services.
Qualified Revenue excludes, unless otherwise expressly stated:
- Taxes.
- Payment processing fees.
- Refunds.
- Chargebacks.
- Credits.
- Promotional credits.
- Free trials.
- Internal testing accounts.
- Complimentary subscriptions.
- Revenue specifically designated as non-commissionable.
Blinko's accounting records shall determine Qualified Revenue.
16.6 Commission Calculation
Recurring commissions are calculated according to the commission schedule published by Blinko.
Commission calculations may vary based upon:
- Product.
- Subscription plan.
- Promotional programs.
- Partner tier.
- Customer type.
- Geographic region.
- Other published incentive programs.
Blinko may publish additional commission schedules from time to time.
16.7 Recurring Commissions
Recurring commissions are intended to reward ongoing customer success.
Recurring commissions continue only while:
- The Business maintains an eligible subscription.
- Qualified Revenue continues.
- The Growth Partner remains eligible under this Policy.
- No disqualifying event has occurred.
Recurring commissions are not guaranteed.
16.8 Payment Schedule
Qualified commissions are generally paid according to Blinko's published payment schedule.
Payments may be subject to:
- Revenue recognition.
- Payment verification.
- Fraud review.
- Refund review.
- Tax verification.
- Minimum payout thresholds.
Blinko may reasonably delay payment where verification is necessary.
16.9 Minimum Payout Threshold
Blinko may establish a minimum payout threshold.
Commissions below the threshold may be carried forward until the threshold is reached.
Blinko will publish applicable thresholds within the Growth Partner Portal.
16.10 Taxes
Growth Partners remain solely responsible for:
- Income taxes.
- Self-employment taxes.
- Business taxes.
- Required registrations.
- Other governmental obligations.
Blinko may withhold amounts where required by law.
Blinko may issue tax reporting documents required under applicable law.
16.11 Refunds and Chargebacks
If Qualified Revenue is subsequently refunded, reversed, charged back, or determined to have been received in error, Blinko may adjust future commission payments accordingly.
Adjustments may include:
- Offsets.
- Reversals.
- Future deductions.
- Recovery of overpayments where legally permitted.
Blinko will maintain reasonable records supporting such adjustments.
16.12 Fraud Prevention
Blinko maintains zero tolerance for fraudulent commission activity.
Examples include:
- Fake Businesses.
- Self-referrals where prohibited.
- Artificial subscription activity.
- Identity fraud.
- Misrepresentation.
- Collusion.
- Manipulated transactions.
- False documentation.
Blinko may investigate suspected fraud and suspend commissions during the investigation.
Confirmed fraud may result in:
- Commission forfeiture.
- Account suspension.
- Termination.
- Recovery of improper payments.
- Referral to law enforcement where appropriate.
16.13 Customer Ownership
Businesses become customers of Blinko.
Growth Partners earn commissions according to this Policy but do not acquire ownership rights in customer accounts.
Blinko retains the right to service, support, transfer, reassign, or otherwise manage customer relationships in the ordinary course of business.
16.14 Partner Transfers
Blinko may establish procedures governing the reassignment of customer relationships between Growth Partners.
Transfers may occur for reasons including:
- Customer request.
- Partner inactivity.
- Compliance issues.
- Geographic considerations.
- Operational efficiency.
Commission treatment following transfers shall be determined according to published Program rules.
16.15 Inactive Partners
Growth Partners who become inactive may lose eligibility for future commissions if inactivity exceeds thresholds established by the Program.
Examples of inactivity may include:
- Failure to maintain Good Standing.
- Failure to access the Platform for an extended period.
- Failure to complete required compliance activities.
- Voluntary withdrawal from the Program.
Blinko will publish applicable inactivity standards.
16.16 Earnings Dashboard
Growth Partners may access an Earnings Dashboard through Growth OS.
The dashboard may display:
- Estimated recurring commissions.
- Pending commissions.
- Paid commissions.
- Adjustment history.
- Qualified Businesses.
- Payment history.
- Forecasted recurring income.
Dashboard information is provided for convenience.
Official accounting records maintained by Blinko govern in the event of discrepancies.
16.17 Disputes
Growth Partners should promptly notify Blinko regarding suspected commission discrepancies.
Disputes should include:
- Business information.
- Relevant dates.
- Supporting documentation.
- Description of the issue.
Blinko will review disputes in good faith.
Failure to raise a dispute within a reasonable period may limit available remedies where permitted by law.
16.18 Modifications
Blinko reserves the right to modify commission programs prospectively.
Modifications may include:
- New incentive programs.
- Updated commission rates.
- New qualification requirements.
- Product eligibility changes.
- Promotional programs.
Material changes will generally not retroactively reduce commissions already earned on Qualified Revenue, except where necessary to correct errors, address fraud, comply with law, or enforce this Policy.
16.19 No Guaranteed Income
Participation in the Growth Partner Program does not guarantee:
- Any minimum income.
- Any level of recurring commissions.
- Any number of Business opportunities.
- Any geographic exclusivity.
- Any future incentive program.
Individual results depend upon numerous factors, including effort, customer adoption, market conditions, and compliance with Program requirements.
16.20 Good Faith Administration
Blinko intends to administer this Policy in good faith and with reasonable consistency.
Where this Policy grants administrative discretion, Blinko will exercise such discretion with the objective of preserving fairness, protecting the Platform, and supporting long-term customer success.
This Commission & Earnings Policy establishes the commercial framework governing recurring commissions earned through the Blinko Growth Partner Program.
The Policy is designed to reward sustainable customer success while protecting the integrity of the Platform through objective qualification requirements, transparent accounting principles, and responsible administration.
This Policy should be read together with the Growth Partner Agreement, Master Terms of Service, and the remaining provisions of the Blinko Governance & Legal Handbook.
